Registration of enterprise<\/h2>

In the current situation, after the crisis period and fierce competition in the market economy, one of the ways to “survive” for enterprises is to join forces in order to jointly solve problems.<\/p>

Thus, an association of enterprises is a new business entity created as part of two or more enterprises for the purpose of coordination of their production, scientific and other activities in order to solve common economic and social problems.<\/p>

Associations of enterprises are formed by enterprises on a voluntary basis or by decision of the bodies that have the right to create an association of enterprises.<\/p>

Examples of such associations of enterprises in Ukraine include associations, concerns, consortiums, holdings and corporations.<\/p>

What documents are required<\/h2>

If you decide to form an association of legal entities, including in the form of a corporation or association, then the following documents must be submitted to the appropriate state registrar in order to register the association:<\/p>

  • the application for registration of a legal entity;<\/li>
  • the founder\u2019s decision to create a new, associated legal entity.For example, when registering a holding company, in accordance with Article 4 of the Law of Ukraine “On Holding Companies in Ukraine”, the role of such a decision can be performed by agreement between the founders.The decision to create holdings is made by the owners of the relevant corporate blocks and formalized by the relevant agreement;<\/li>
  • two counterparts of the constituent documents (for some forms it may be the Articles of association, for others – an agreement);<\/li>
  • a document confirming the payment of the registration fee for state registration of a legal entity.To date, the registration fee is 170 hryvnas;<\/li>
  • a document with information on the founders\u2019 ownership structure – legal entities.In Ukraine, such a document is an extract from the USR.If one of the founders of the association is a foreign legal entity, an appropriate document is submitted confirming the fact of registration and the ownership structure of the legal entity (for example, an extract from the court or commercial register).<\/li><\/ul>

    Also, in accordance with Art. 24 of the Law of Ukraine “On State Registration of Legal Entities and Private Entrepreneurs”, in some cases it is additionally necessary to submit a copy of the decision of the Antimonopoly Committee of Ukraine or the Cabinet of Ministers of Ukraine on issuing permission for concerted actions or concentration of economic entities. In fact, it is the receipt of such a document from the Antimonopoly Committee of Ukraine or the Cabinet of Ministers that is the permission for the formation of a new subject of economic activity.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t
